Publicregistersalsohaveaprotectivefunction.Datathatareregisteredand

disclosedtothepublic,withthecertaintythattheyhavebeencheckedbythe

registrationauthority,allowspeciﬁcuserstohavetheconﬁdencethatwhenthey

refertotheinformationcontainedthereintheyarereferringtoitasbeingtrue

orhavinglegaleﬀect.Thisprotectssocietalvaluesthatareconsideredimportant

andrequirestateintervention.Forinstance,thedisclosureofinformationon

tradersorthelegalstatusofimmovablepropertyservesasoverridingsecurityof

tradebyprotectingpersonsactingingoodfaithandtrustintheregister.13

Thecontrolfunctionisoneofthemostimportantfunctionsofpublic

registers.Forbusinessregisters,thisfunctionallowstheregistrationauthorityto

verifywhetheranentity(e.g.alegalpersonorapartnership)hasbeenestablished

inaccordancewiththelaworwhetherithastakenuporproperlycarriesout

acertaintypeofactivity.Forsubjectregisters,ontheotherhand,thecontrolof

theregistrationauthorityconsistsincheckingwhethertheperformanceofalegal

actislegalandwhetheritisperformedinfact,i.e.whetheralltherequirements

foritsperformancearemet.Theconsequenceofthecontrolfunctionistheright

oftheregistrationauthoritiestodisciplinecertainpersonsorgroupsofpersonsto

performthedutiesimposedonthembythelaw.Thecontrolfunctionissometimes

combinedwiththedisciplinaryandprotectivefunctionoftheregistration

authority.Itmanifestsitselfinthefactthate.g.thecourtkeepingthecommercial

registerissues,incertainsituations,consenttothesaleofshares,itmayappoint

anentityauthorisedtoauditﬁnancialstatementsinordertoexaminetheaccounts

andoperationsofthecompany,anditmayalsoappointitsfee.14

Thelaw-makingfunctionoftheregisterliesinthefactthattheentryof

acertainsubjectorobjectintheregisterisaconditionfortheeﬀectivenessof

certainlegalfacts.Makinganentryresults,forexample,intheestablishmentof

alegalperson.Similarly,inthecaseofacontractualmortgageoraregistered

pledge,anentryisconstitutiveinnature.Inotherwords,untilanentryismade,

acreditorisnotentitledtoamortgageoraregisteredpledge,evenifrelevant

agreementshavebeenconcluded,declarationsandmotionsmade,andthe

intentionofthepartieswasunambiguous.Pastpracticeanddoctrineimplythat

thelaw-makingfunctionismuchmoreoftenperformedbycourtregistersthan

byadministrativeregisters.15
