oftheLawofObligationsinpartfourincludestitlesprovidingfor,first,
generalprovisions,second,obligationsarisenfromlegalacting,third,ob-
ligationsarisenfromdelicts,and,fourth,obligationsarisenforotherlegal
reasons.Sincethelegalregulationofobligationscouldbeelaboratedon
inaseparatemonography,thegoalofthisarticlewillberathertodraw
atentiontosomenewinstituteswhichNOZbringsasopposedtothe
hithertolegalregulation.
3.Culpaincontrahendo
Oneoftheimportantfeaturesbeingprecontractualliability.Expressle-
galregulationintheCzechLegalOrderhasbeenabsentsofar,although
ithasbeenofencalledfor,anditwasnotentirelycorrectlyinferred
byjudicialdecision(s)12.NewCivilCodecomeswithexpressregulationin
s.1728to1730whichisverysimilartoDCFR.
IntheActtherearenewlyprovidedforconsequencesofactingwhen
oneofthepartiesconcludingacontractwithdrawsfromconclusionofthe
contractwithoutaseriousreasonandinconflictwiththeprincipalofgood
faith,andforsuchactingwhenoneofthepartiesincitedcontractnegotia-
tionswiththeotherpartyonlytofrustratetheconclusionofthecontract
ofsuchapartywithathirdperson.Insuchdelictsthereisnotpretended
creationofafrustratedcontract,butthereisestablishedanentitlementof
theinjuredtoacompensationfordamage.Atthatoccasionitistakeninto
considerationwhethertheinjuredistobealsoacknowledgedarightto
reasonablesatisfaction.

thecontractcontributesinmyopiniontocorrectimplementationof
theprincipleofHpactasuntservanda”whichpermeatesthewholeprivate

TheActestablishesageneralclauseins.1728NOZ,whereitprovides
forthateveryonemayconductnegotiationsaboutacontractfreelyandis
notliableforthathewillnotenterintoitunlesshecommencesnegotiations
