1.1Publicregisters-definition,typology,functions
certainbusinessentitiesandpersonsauthorisedtoactontheirbehalfand,
aboveall,toincurobligationsontheirbehalf.Thisgroupincreasesthesecurity
ofcontractualrightsbyidentifyingthepersonsresponsiblefortheobligations.
Thisgroupofregisterscanbereferredtoaspublicpersonal-turnoverregisters.
Thisgroupincludes,amongotherthings,thecommercialregister,theregisterof
cooperatives,andtheregisterofassociations.18
Anotherdivisionofpublicregisterscanbemadeintermsofthebreadth
ofdatatheycollect.Thistypologymakesitpossibletoindicateprimaryand
secondaryregisters.Primaryregistersinclude,forexample,theNationalCourt
Register,theBusinessRegister,andtheNationalCriminalInformationCentre.
Theseregisterscontaininformationonallmajoreconomiceventssubjectto
registration.Auxiliaryregisters,ontheotherhand,containinformationof
aspecifictype.TheseincludeREGON,NIPandtheNationalCriminalRegister.19
Animportantdistinctioninthetypologyofregistersisthatoftheauthorities
keepingtheregister.Dependingonwhethertheregisteriskeptbyacourtor
byastateorlocalgovernmentbody,onecandistinguishbetweencourtor
administrativeregisters.20
Adistinctioncanalsobemadebetweensubjectandobjectregisters.Subject
registersareusedtocollectanddiscloseinformationonnaturalorlegalpersons
ororganisationalunitswithacertaindegreeofautonomyinlegaltransactions.
Theseinclude,interalia,maritalstatusregisters,commercialregisters,registers
ofassociations,registersofconvictsortaxpayers’registers.Objectregisters,on
theotherhand,revealthelegalstatusofspecificitems(suchasrealestate)or
specificrightsandobligationsvestedincertainentities(bywayofillustrationof
contractualorstatutorypledgesorpatentrights).21
Intermsofthefunctionsperformedbyregisters,thefollowingtypescanbe
identified:ordering(e.g.maritalstatusregisters),regulating(landandmortgage
registersinGermany,registersoftradersorentrepreneurs),subordinating
(landregisters),guaranteeing(modernregistersoftraders,corporationsand
enterprises),disclosing.22
